2027 FitBody Fusion Athlete Summit Sponsorship

Sponsorship Terms of Service and Agreement

Effective Date: September 1, 2026

These Sponsorship Terms of Service and Agreement (“Terms”) govern sponsorship participation in the 2027 FitBody Fusion Athlete Summit (“Summit” or “Event”), organized by DB Limited LLC, an Arizona limited liability company doing business as FitBody Fusion (“FBF,” “we,” “us,” or “our”).

By purchasing, accepting, or participating in a Summit sponsorship package, the sponsoring individual, company, or organization (“Sponsor,” “you,” or “your”) acknowledges that it has read, understood, and agreed to these Terms.

The individual accepting these Terms on behalf of a company or organization represents that they have the authority to bind that entity to this Agreement.

1. Event Information

The Summit will take place on the dates, at the times, and at the location identified on the official sponsorship materials, registration page, or written confirmation provided by FBF.

Event programming may include educational presentations, workshops, demonstrations, networking opportunities, sponsor presentations, awards, fitness-related activities, meals, entertainment, and an evening gala.

All schedules, speakers, presenters, activities, locations, programming, and Event details are subject to change.

2. Sponsorship Packages

Available sponsorship opportunities may include:

  • Presenting Sponsor: $1,000

  • Platinum Sponsor: $700

  • Royal Sponsor: $450

Each sponsorship includes only the benefits specifically identified in the sponsorship package selected by the Sponsor and confirmed in writing by FBF.

Current featured benefits may include:

  • A Presenting Sponsor presentation of up to 30 minutes during the Summit;

  • A Presenting Sponsor presentation or recognition of up to 10 minutes during the gala;

  • A Platinum Sponsor presentation of up to 10 minutes during the Summit;

  • Sponsor recognition, logo placement, promotional opportunities, or other benefits described in the applicable package; and

  • Additional access, admissions, display opportunities, or benefits expressly confirmed by FBF.

Royal Sponsorship does not include a video or speaking presentation unless separately approved in writing by FBF.

Presentation lengths are maximum allotted times and do not guarantee an exact start time, placement, audience size, or uninterrupted presentation. FBF may adjust presentation timing, order, location, or format to meet scheduling and operational needs.

Any benefit not expressly included in the selected sponsorship package or confirmed in writing by FBF is not part of the sponsorship.

3. Sponsorship Approval

All sponsorships are subject to FBF’s review and approval. Payment does not guarantee acceptance if the Sponsor, its products, services, marketing, or proposed presentation conflicts with:

  • FBF’s brand, values, or business interests;

  • The purpose or audience of the Summit;

  • Existing contractual obligations;

  • Venue requirements;

  • Applicable laws or regulations; or

  • Health, safety, or professional standards.

FBF may decline a proposed Sponsor before final acceptance. If FBF declines the Sponsor before providing any sponsorship benefits, amounts paid directly to FBF will be refunded.

FBF reserves the right to limit the number of sponsors accepted within any product, service, or business category. Unless expressly confirmed in writing, sponsorship does not include category exclusivity.

4. Payment

All sponsorship fees are listed in U.S. dollars. Applicable taxes, processing fees, service fees, optional upgrades, and additional expenses may be charged separately.

Full payment is required to confirm and activate the sponsorship unless FBF approves a different written payment schedule.

Sponsorship benefits will not begin, and promotional materials will not be published, until payment has been successfully processed and the sponsorship has been approved.

If payment is declined, reversed, disputed, or charged back, FBF may suspend or cancel all sponsorship benefits. The Sponsor remains responsible for any legitimate outstanding balance and associated collection or processing costs permitted by law.

5. Refund and Cancellation Policy

All sponsorship payments are final and nonrefundable, except when required by applicable law or when FBF cancels the Summit in its entirety and does not provide a rescheduled date, replacement event, sponsorship credit, or comparable alternative.

Refunds or credits will not be provided if the Sponsor:

  • Cancels or withdraws from the Summit;

  • Fails to attend or participate;

  • Misses a submission, production, or presentation deadline;

  • Fails to provide required logos, advertisements, videos, presentations, or other materials;

  • Experiences travel delays, scheduling conflicts, illness, or staffing issues;

  • Is dissatisfied with attendance, audience engagement, sales, leads, or sponsorship results;

  • Is removed for violating these Terms, venue rules, or applicable law; or

  • Does not use one or more benefits included in its sponsorship package.

Travel, lodging, shipping, staffing, production, inventory, display materials, meals not expressly included, and other sponsorship-related costs are the Sponsor’s responsibility and will not be reimbursed by FBF.

6. Sponsor Cancellation

If the Sponsor can no longer participate, it must provide written notice to arizona@fitbodyfusion.com as soon as reasonably possible.

Cancellation by the Sponsor does not eliminate its payment obligations or create a right to a refund. Sponsorship packages may not be transferred, resold, assigned, or shared with another company or individual without advance written approval from FBF.

FBF may, at its sole discretion, approve a sponsorship credit or transfer. Any approval must be provided in writing.

7. Event Changes, Postponement, or Cancellation

FBF may modify the Event’s date, schedule, location, format, speakers, presenters, sponsorship placements, activities, or programming when reasonably necessary.

If the Summit is postponed or rescheduled, sponsorship payments and benefits will generally be transferred to the rescheduled Event.

Changes to the schedule, presentation time, speaker lineup, attendance, room assignment, venue within the same general geographic area, sponsorship placement, or Event format do not constitute cancellation and do not create a right to a refund.

If FBF cancels the Summit in its entirety and does not offer a rescheduled date, replacement event, sponsorship credit, or comparable alternative, FBF’s maximum responsibility will be limited to the sponsorship fees paid directly to FBF, excluding processing fees, third-party expenses, production costs, travel expenses, and other indirect costs to the extent permitted by law.

FBF is not responsible for losses caused by circumstances outside its reasonable control, including severe weather, natural disasters, fire, flood, public health emergencies, government orders, labor disputes, civil unrest, acts or threats of violence, transportation interruptions, utility or technology failures, venue closures, or the illness or unavailability of speakers or key personnel.

8. Sponsor Materials and Deadlines

The Sponsor must submit all requested materials by the deadlines communicated by FBF. Materials may include:

  • Company or brand name;

  • High-resolution logos;

  • Brand guidelines;

  • Website and social media links;

  • Advertisements or promotional graphics;

  • Sponsor biography or company description;

  • Presentation title and description;

  • Speaker names, photographs, and biographies;

  • Videos or multimedia content;

  • Product information;

  • Giveaway details; and

  • Any licenses, disclosures, or approvals required for the Sponsor’s products or services.

Unless otherwise communicated in writing, all final sponsorship materials must be submitted to arizona@fitbodyfusion.com by December 31, 2026.

FBF is not responsible for omitted, delayed, reduced, or substituted benefits caused by the Sponsor’s failure to provide complete, accurate, properly formatted, or timely materials.

Late materials may not be included in printed materials, signage, videos, social media, presentations, or other Event promotions.

9. Content Review and Approval

FBF may review, approve, reject, edit, resize, reformat, shorten, or request modifications to Sponsor materials before publication or presentation.

Sponsor content must not:

  • Be false, misleading, deceptive, defamatory, or unlawful;

  • Contain unsubstantiated health, medical, performance, financial, or income claims;

  • Infringe another party’s intellectual-property, privacy, or publicity rights;

  • Promote illegal products, services, or conduct;

  • Contain explicit, discriminatory, harassing, or offensive material;

  • Make unauthorized claims of endorsement by FBF;

  • Disparage FBF, its affiliates, athletes, coaches, sponsors, speakers, or attendees; or

  • Conflict with the professional standards, values, or purpose of the Summit.

Approval of Sponsor materials by FBF does not transfer responsibility for their accuracy, legality, ownership, or regulatory compliance. The Sponsor remains solely responsible for all content it provides.

10. Sponsor Presentations

Sponsors receiving presentation time must comply with the schedule, format, technical requirements, and content guidelines provided by FBF.

Presentation time includes introductions, demonstrations, questions, transitions, and any audiovisual content. Sponsors must remain within the allotted time.

FBF may stop or shorten a presentation that exceeds its scheduled time or violates these Terms.

Sponsor presentations must be educational, professional, relevant to the Summit audience, and consistent with the presentation description approved by FBF. Direct sales content may be limited at FBF’s discretion.

FBF may request presentation slides, videos, talking points, product claims, and supporting materials in advance. Significant changes may not be made after approval without FBF’s written permission.

A Sponsor may not substitute or add a speaker without advance written approval from FBF.

11. Promotional Displays, Products, and Giveaways

Any display, product demonstration, sampling, giveaway, or distribution of promotional materials must receive advance approval from FBF and comply with venue requirements.

Sponsors are responsible for:

  • Transporting, shipping, storing, assembling, staffing, and removing their materials;

  • Maintaining a clean, professional, and safe display;

  • Obtaining required licenses, permits, approvals, and insurance;

  • Ensuring products are properly labeled and legally distributed;

  • Monitoring products, equipment, inventory, and personal property; and

  • Paying any venue, shipping, electrical, internet, storage, labor, or handling fees not expressly included in the sponsorship.

Food, beverages, supplements, cosmetics, medications, or products intended for ingestion or application may not be sampled or distributed without advance written approval.

Giveaways, raffles, contests, and promotions must comply with all applicable laws. Unless separately agreed in writing, FBF is not responsible for administering, selecting winners for, fulfilling, or resolving disputes related to a Sponsor promotion.

12. Sponsor Representatives and Admission

Only the number of Sponsor representatives or Event admissions expressly included in the selected package will be admitted without additional charge.

Additional representatives must purchase a ticket or receive advance written authorization from FBF.

Sponsors must provide the names and contact information of all representatives by the registration deadline communicated by FBF. Sponsor credentials may not be transferred or shared without authorization.

All Sponsor representatives must comply with these Terms, the attendee terms, venue policies, and instructions from FBF personnel. The Sponsor is responsible for the actions of its owners, employees, representatives, contractors, speakers, and guests.

13. Sponsor Conduct

Sponsors and their representatives must conduct themselves professionally, respectfully, and safely.

Prohibited conduct includes:

  • Harassment, discrimination, intimidation, or threatening behavior;

  • Physical violence or unsafe conduct;

  • Disruption of presentations, workshops, activities, or Event operations;

  • Solicitation outside authorized areas or times;

  • Distribution of unapproved promotional materials;

  • Recording or photographing others in private or restricted settings without permission;

  • Possession or use of illegal substances;

  • Excessive intoxication or disorderly behavior;

  • Damage to the venue or another person’s property;

  • Unauthorized access to restricted areas;

  • Misrepresentation of an affiliation with or endorsement by FBF; and

  • Conduct that violates applicable law, venue policies, or FBF instructions.

FBF and venue personnel may deny entry, revoke sponsorship privileges, end a presentation, remove materials, or remove any Sponsor representative whose behavior or content is unsafe, disruptive, unlawful, misleading, or inconsistent with these Terms.

Such action does not entitle the Sponsor to a refund.

The Sponsor is financially responsible for damage caused by its representatives, displays, products, equipment, contractors, or guests.

14. Brand Usage and Intellectual Property

Each party retains ownership of its respective names, logos, trademarks, copyrighted materials, and other intellectual property.

The Sponsor grants FBF a limited, nonexclusive, royalty-free license to use the Sponsor’s approved name, logo, trademarks, images, descriptions, and submitted materials to advertise, administer, document, and promote the Summit and the sponsorship.

This license includes use on Event websites, registration pages, email campaigns, printed materials, signage, social media, photography, video, and post-Event recaps.

FBF grants the Sponsor a limited, revocable, nonexclusive license to use approved Summit names and graphics solely to promote its official participation in the Summit.

The Sponsor may not:

  • Modify the FBF name or logo without written approval;

  • Suggest that FBF endorses or guarantees the Sponsor’s products or services;

  • Register any domain name, social media account, trademark, or business name containing FBF’s intellectual property;

  • Use FBF branding after termination or outside the approved sponsorship promotion; or

  • Use Summit content for an unrelated commercial purpose.

Any goodwill arising from the use of a party’s intellectual property belongs solely to that party.

15. Photography, Video, and Media Release

The Summit may be photographed, livestreamed, filmed, or otherwise recorded.

The Sponsor grants FBF and its authorized representatives permission to photograph and record the Sponsor’s displays, products, representatives, speakers, presentations, name, logo, likenesses, voices, and Event participation.

FBF may reproduce, edit, publish, display, distribute, and otherwise use that media for lawful marketing, promotional, educational, archival, and commercial purposes in any format or medium, worldwide and without additional compensation.

The Sponsor is responsible for obtaining all necessary permissions and releases from its representatives, speakers, contractors, and guests.

Unless expressly included in the selected sponsorship package, the Sponsor is not guaranteed copies of photographs, video footage, or recordings created by or for FBF.

The Sponsor may capture content only in authorized locations and must respect attendee privacy, restricted sessions, and instructions from FBF or venue personnel.

16. Attendee Information and Privacy

Sponsorship does not include access to attendee registration information, email addresses, telephone numbers, health information, or other personal data unless expressly stated in writing and legally permitted.

Sponsors may collect information directly from attendees only with the attendee’s knowledge and consent. The Sponsor is solely responsible for:

  • Providing legally required privacy notices;

  • Obtaining valid marketing consent;

  • Protecting collected information;

  • Honoring opt-out and deletion requests;

  • Complying with applicable privacy and marketing laws; and

  • Responding to complaints, breaches, or claims arising from its data practices.

The Sponsor may not add attendees to email, text-message, or marketing lists without legally valid consent.

17. No Guarantee of Results or Exclusivity

FBF does not guarantee:

  • A specific number of attendees;

  • A particular audience composition;

  • A minimum number of impressions, leads, sales, consultations, or conversions;

  • A specific level of attendee engagement;

  • Media coverage or social media performance;

  • The attendance of any particular athlete, coach, presenter, or guest;

  • Any financial, promotional, or business result; or

  • Category exclusivity unless expressly confirmed in writing.

The Sponsor is responsible for determining whether the sponsorship aligns with its goals and for following up on any leads or opportunities it receives.

18. Independent Relationship

The Sponsor and FBF are independent parties. Nothing in these Terms creates an employment, agency, partnership, franchise, joint venture, fiduciary, or legal representative relationship.

Neither party has authority to enter into an agreement, incur an obligation, or make a promise on behalf of the other.

Sponsorship does not constitute FBF’s endorsement, certification, approval, or guarantee of the Sponsor or its products, services, advice, representatives, or claims.

19. Legal and Regulatory Compliance

The Sponsor is solely responsible for ensuring that its business, products, services, advertisements, presentations, demonstrations, testimonials, claims, promotions, and data practices comply with all applicable laws, regulations, professional standards, and industry requirements.

Sponsors offering health, wellness, fitness, nutrition, supplement, medical, financial, or professional services must make all required disclosures and remain within the legal scope of their licenses and credentials.

Nothing presented or distributed by the Sponsor may be represented as individualized medical, mental-health, legal, tax, or financial advice unless lawfully provided by an appropriately licensed professional.

20. Insurance

FBF or the venue may require the Sponsor to provide evidence of commercial general liability insurance, product liability insurance, workers’ compensation coverage, automobile insurance, or other appropriate coverage.

If required, the Sponsor must provide a valid certificate of insurance by the stated deadline and may be required to name DB Limited LLC, its applicable affiliates, and the venue as additional insureds.

Failure to provide required insurance may result in the loss of display, sampling, demonstration, or participation privileges without a refund.

21. Indemnification

To the fullest extent permitted by law, the Sponsor agrees to defend, indemnify, and hold harmless DB Limited LLC, together with its parent, subsidiary, and affiliated entities, including entities operating or doing business as FitBody Fusion, FBF West, FBF East, FBF Coaching, and FBF Performance Centers, and each entity’s respective past, present, and future owners, members, managers, officers, directors, employees, agents, representatives, independent contractors, instructors, volunteers, speakers, sponsors, insurers, successors, and assigns (collectively, the “Released Parties”), from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from or related to:

  • The Sponsor’s products, services, displays, demonstrations, promotions, or activities;

  • Content, materials, claims, or intellectual property provided by the Sponsor;

  • The acts or omissions of the Sponsor or its representatives;

  • The Sponsor’s breach of these Terms;

  • Personal injury, property damage, or financial loss caused by the Sponsor;

  • Alleged infringement of intellectual-property, privacy, or publicity rights; or

  • The Sponsor’s violation of applicable law.

This obligation does not apply to the extent a claim results from conduct for which indemnification cannot legally be required.

22. Assumption of Risk

The Sponsor understands that participation in a live event involves inherent and unforeseen risks, including risks associated with crowds, travel, shipping, facilities, physical activity, communicable illnesses, slips, trips, falls, equipment, product demonstrations, and the actions of others.

To the fullest extent permitted by law, the Sponsor voluntarily assumes all risks connected with its participation, representatives, displays, equipment, products, and activities, except to the extent caused by conduct for which liability cannot legally be waived.

23. Limitation of Liability

The Released Parties will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost opportunities, anticipated sales, reputational harm, travel expenses, production costs, shipping expenses, or loss of personal property or inventory.

To the fullest extent permitted by law, the Released Parties’ total liability arising from the Summit, the sponsorship, or these Terms will not exceed the sponsorship fees paid directly to FBF by the Sponsor.

Nothing in these Terms excludes liability that cannot legally be waived or limited.

24. Personal Property and Equipment

The Sponsor is responsible for its materials, inventory, equipment, displays, shipments, and personal property at all times.

FBF, the venue, Event personnel, speakers, vendors, and other sponsors are not responsible for property that is lost, stolen, delayed, misplaced, or damaged.

The Sponsor must remove all property within the time established by FBF or the venue. Items left behind may be discarded, stored, or shipped at the Sponsor’s expense.

25. Accessibility and Accommodations

Requests for disability-related accommodations for Sponsor representatives should be submitted to arizona@fitbodyfusion.com by December 31, 2026.

FBF will make reasonable efforts to accommodate timely requests but cannot guarantee that all requested accommodations will be available.

26. Privacy and Communications

Information collected from the Sponsor may be used to:

  • Process and manage the sponsorship;

  • Provide Event updates and logistical information;

  • Produce Sponsor recognition and promotional materials;

  • Coordinate presentations, displays, representatives, and deliverables;

  • Communicate about future FBF sponsorship opportunities and events, subject to applicable law; and

  • Comply with legal and operational requirements.

The Sponsor is responsible for monitoring the email address provided during registration. FBF is not responsible for missed communications caused by incorrect information, staffing changes, spam filters, full inboxes, or failure to review Event correspondence.

27. Termination

FBF may suspend or terminate a sponsorship if the Sponsor:

  • Fails to make a required payment;

  • Misses a material submission deadline;

  • Provides false or misleading information;

  • Violates these Terms or applicable law;

  • Engages in conduct that may harm attendees, FBF, the venue, or the Event;

  • Creates a material reputational, legal, safety, or operational risk; or

  • Fails to comply with reasonable instructions from FBF or the venue.

Termination for the Sponsor’s breach does not create a right to a refund and does not eliminate any outstanding payment, indemnification, confidentiality, or legal obligation.

28. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve the dispute through written communication and informal discussion.

Unless otherwise required by law, any legal action arising from these Terms or the Summit must be brought in a court of competent jurisdiction located in Maricopa County, Arizona. Each party consents to the jurisdiction and venue of those courts.

29. Changes to These Terms

FBF may update these Terms when reasonably necessary. Material updates will be communicated through the sponsorship registration platform, official website, or Sponsor communications.

The version in effect when the sponsorship is purchased will generally govern that purchase, except for updates required by law or reasonably necessary for Event safety and administration.

30. Severability and Entire Agreement

If any portion of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect. The invalid provision will be limited or modified only to the extent necessary to make it enforceable.

These Terms, together with the selected sponsorship package, written sponsorship confirmation, payment information, approved deliverables, venue requirements, and any separately signed agreements constitute the entire agreement concerning the sponsorship.

If there is a conflict between these Terms and a separately signed sponsorship agreement, the separately signed agreement will control.

Failure by FBF to enforce any provision does not waive its right to enforce that provision later.
